These Terms of Service (the "Terms") govern your access to and use of the websites, applications, AI tools, software, content generation features, workspaces, and related services operated under the SellWorks brand ("SellWorks," "we," "us," or "our"), including the website at sellworks.ai and related domains (collectively, the "Service"). Until a formal legal entity is formed, references to SellWorks mean the current operator or operators of the SellWorks service and any future company, assignee, or successor that operates the Service.

By creating an account, clicking to accept these Terms, starting a trial, purchasing a subscription, using the Service, or accessing any generated content, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.

If you do not agree to these Terms, do not use the Service.

1. What SellWorks does

SellWorks is an AI content platform for ecommerce sellers, brands, agencies, and teams. The Service may allow you to submit product URLs, product descriptions, images, videos, brand assets, prompts, instructions, and other materials ("Inputs") so that SellWorks can generate or help generate product listing copy, titles, bullet points, descriptions, product images, lifestyle images, ads, hooks, captions, UGC-style creative, videos, and other marketing assets ("Outputs"). Inputs and Outputs are collectively referred to as "Customer Content."

The Service may include free, trial, paid, team, custom, white-label, bulk generation, and other features. Some features may be subject to additional terms, order forms, product-specific rules, usage limits, or plan descriptions, which are incorporated into these Terms when made available to you.

2. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. The Service is intended for business and professional use and is not directed to children.

You agree to provide accurate account, billing, and contact information and to keep it current. You are responsible for all activity under your account, workspace, and team member accounts. You must keep your credentials confidential and promptly notify us at support@sellworks.ai if you believe your account has been compromised.

You may not create multiple accounts to avoid usage limits, obtain repeated free credits, evade enforcement, or bypass safety or moderation controls.

3. Plans, subscriptions, credits, and payment

SellWorks may offer free plans, free trials, monthly subscriptions, annual subscriptions, team plans, custom plans, usage-based features, credits, or other paid offerings. Current plan descriptions and pricing are shown on the Service or in your applicable order form.

Unless a checkout page or order form says otherwise:

  • subscriptions renew automatically at the end of each billing period until canceled;
  • fees are charged in advance for the applicable billing period;
  • usage credits, generation credits, or similar allowances are subject to the limits of your plan;
  • monthly credits reset at the end of each billing cycle and do not roll over unless your plan expressly says otherwise;
  • credits have no cash value, are not transferable, and cannot be redeemed for cash;
  • you are responsible for taxes, duties, and similar governmental charges; and
  • all fees are non-refundable except where required by applicable law or expressly stated in an applicable order form.

You may cancel a paid subscription through the account settings or another method made available in the Service. Cancellation stops future renewals but does not automatically refund prior charges. If your payment fails, we may suspend or limit access to paid features until payment is received.

Credits may be reserved when a generation job starts and settled when the job completes. If a generation fails because of a SellWorks system error or provider error, we may release or return the reserved credits. If you dislike an Output, change your mind, provide incorrect Inputs, cancel after processing has started, or violate these Terms or our Moderation Policy, credits may not be returned.

4. Free plans and trials

SellWorks may provide free plans or trial access. Free or trial access may have lower usage limits, limited features, lower-resolution downloads, watermarks, slower queues, or other restrictions. Subject to these Terms and our policies, Outputs generated under the Free plan may be used for commercial purposes unless a specific feature or Output is expressly labeled as non-commercial.

SellWorks may modify, suspend, or discontinue free or trial offerings at any time. If a trial requires payment information, it may convert into a paid subscription unless you cancel before the trial ends, as explained at checkout.

5. Customer Content: your rights and responsibilities

You retain any rights you have in your Inputs. You are solely responsible for your Inputs and for ensuring that you have all rights, permissions, licenses, consents, releases, and legal authority necessary to submit Inputs to SellWorks and to use the Outputs.

This includes responsibility for product images, product descriptions, product URLs, brand assets, trademarks, logos, packaging, screenshots, music, voice, likeness, names, influencer content, customer reviews, testimonials, and any other materials you submit or reference.

You represent and warrant that:

  1. you own or have permission to use the Inputs;
  2. your Inputs and your use of Outputs will not infringe, misappropriate, or violate any third-party rights, including copyright, trademark, publicity, privacy, contract, trade secret, or other rights;
  3. your Inputs and your use of Outputs will comply with all applicable laws, advertising rules, marketplace policies, platform policies, and these Terms;
  4. you will not submit confidential, sensitive, regulated, or personal information unless you have the right to do so and the information is necessary for your use of the Service; and
  5. you will review all Outputs before publishing, distributing, advertising, or relying on them.

6. License you grant to SellWorks

You grant SellWorks a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, modify, create derivative works from, and otherwise use Customer Content as necessary to:

  • provide, maintain, secure, and improve the Service;
  • generate, edit, store, export, and display Outputs;
  • provide customer support and troubleshoot issues;
  • detect, prevent, and respond to abuse, fraud, security incidents, and policy violations;
  • comply with law and enforce these Terms; and
  • create aggregated, anonymized, or de-identified analytics that do not identify you or your customers.

SellWorks will not use your non-public Customer Content in public galleries, public showcases, case studies, or marketing materials unless you expressly give permission or the content is anonymized, de-identified, or otherwise non-identifying.

SellWorks does not use non-public Customer Content to train public or general-purpose AI models unless you have given us permission. We may use aggregated, de-identified, or synthetic usage data, safety signals, feedback, and technical logs to operate, secure, evaluate, and improve the Service.

7. Outputs and commercial use

Subject to your compliance with these Terms and your plan limits, SellWorks grants you the right to use Outputs generated through your account, including Outputs generated under the Free plan, for your internal business purposes and commercial marketing, including ecommerce listings, ads, product pages, social media posts, and related promotional materials.

To the extent SellWorks owns any copyright rights in an Output, SellWorks assigns or grants those rights to you as necessary for your permitted use of that Output, excluding SellWorks technology, templates, software, models, prompts, workflows, trade secrets, brand assets, platform assets, stock content, third-party materials, and other materials that SellWorks or third parties separately own.

The following limitations apply:

  1. Outputs may not be unique. Similar or identical outputs may be generated for other users.
  2. Outputs may contain errors, omissions, or similarities to third-party content.
  3. AI-generated content may not be eligible for copyright protection in every jurisdiction.
  4. SellWorks does not guarantee that Outputs are accurate, lawful, non-infringing, platform-compliant, or fit for your intended use.
  5. You are responsible for reviewing, editing, fact-checking, substantiating, and clearing Outputs before use.
  6. Free, trial, or beta Outputs may be subject to additional feature limits, watermarks, export limits, or quality limits, but may be used commercially unless the Service expressly labels a specific feature or Output as non-commercial.

8. Advertising, ecommerce, and platform compliance

SellWorks helps generate marketing materials, but you are responsible for how you use them. You must ensure that all claims, offers, endorsements, testimonials, product descriptions, prices, discounts, performance claims, health claims, environmental claims, warranty statements, safety claims, shipping claims, and other marketing statements are truthful, not misleading, substantiated, and legally compliant.

You are also responsible for complying with the policies of platforms where you publish or advertise, including Amazon, Shopify, TikTok, TikTok Shop, Meta, Google, YouTube, Instagram, and any other marketplace, ad network, or social platform. SellWorks is not affiliated with, endorsed by, or sponsored by those platforms unless expressly stated. SellWorks does not guarantee that any Output will be approved by a platform, increase conversions, improve rankings, generate revenue, or avoid account enforcement.

You may not use SellWorks to create fake reviews, fake testimonials, fake UGC, fake endorsements, undisclosed influencer content, counterfeit product listings, deceptive scarcity claims, fabricated before-and-after results, or content that suggests a real person used or endorsed a product when that is not true.

9. Moderation and prohibited uses

You must comply with our Moderation Policy. SellWorks may monitor, filter, review, block, remove, or refuse to generate content that we believe violates our policies, creates legal risk, harms others, threatens the integrity of the Service, or is otherwise inappropriate.

You may not use the Service to create, upload, generate, distribute, or facilitate content or activity involving:

  • child sexual exploitation or abuse;
  • pornography, explicit sexual material, or non-consensual intimate content;
  • graphic violence, threats, harassment, hate, or discrimination;
  • illegal products or activities;
  • scams, fraud, spam, phishing, hacking, or deceptive practices;
  • fake reviews, fake testimonials, fake endorsements, or misleading UGC-style content;
  • unauthorized use of a person's name, image, likeness, voice, identity, or private information;
  • counterfeit goods, infringing products, or unauthorized use of copyrighted, trademarked, or branded materials;
  • regulated or restricted products where the content would be unlawful, unsafe, or misleading;
  • political campaigning, direct lobbying, or civic manipulation;
  • misinformation, disinformation, or materially misleading claims; or
  • attempts to bypass security, billing, rate limits, moderation, or usage controls.

10. Copyright and IP complaints

If you believe Customer Content or an Output available through the Service infringes your copyright, trademark, publicity, privacy, or other rights, contact support@sellworks.ai with sufficient information for us to review your complaint, including:

  • your name and contact information;
  • a description of the work, brand, likeness, or rights you believe are infringed;
  • the URL, screenshot, asset ID, or other information identifying the allegedly infringing content;
  • a statement that you have a good-faith belief the use is not authorized;
  • a statement that the information in your notice is accurate; and
  • your physical or electronic signature.

We may remove or restrict content, request more information, notify the user, suspend accounts, or take other appropriate action. Users who believe content was removed by mistake may contact support@sellworks.ai with a counter-explanation and supporting information.

11. Examples, demos, and public sharing

SellWorks may provide example content, templates, demos, sample Outputs, or public-facing galleries to show what the Service can do. Unless we state otherwise, these examples are demo, sample, licensed, or SellWorks-created materials, not private Customer Content.

SellWorks does not use your non-public Customer Content in a public gallery, public showcase, case study, advertisement, or marketing material unless you expressly give permission or the content is anonymized, de-identified, or otherwise non-identifying.

If the Service later offers an optional public sharing or gallery feature, you are responsible for deciding what to publish and for ensuring you have all rights needed to make that content public. Public sharing features may be subject to additional terms or controls.

12. Third-party services and content

The Service may connect to or rely on third-party services, including hosting providers, AI model providers, payment processors, analytics providers, email providers, storage providers, customer support tools, ecommerce platforms, ad platforms, and marketplaces. Third-party services are governed by their own terms and privacy policies.

SellWorks is not responsible for third-party websites, product pages, marketplace listings, platform policies, integrations, services, or content. Your use of third-party services is at your own risk and may require separate authorization.

13. SellWorks intellectual property

SellWorks and its licensors own all rights, title, and interest in and to the Service, including software, models, systems, workflows, interfaces, design, prompts, prompt chains, templates, scoring systems, moderation tools, documentation, trademarks, logos, trade names, and other technology and content, excluding Customer Content.

These Terms do not grant you any rights to SellWorks intellectual property except the limited right to access and use the Service as permitted by your plan and these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, attempt to extract source code, attempt to derive model weights or system prompts, remove proprietary notices, or create competing services using the Service, except to the extent such restrictions are prohibited by law.

14. Privacy

Our Privacy Policy explains how we collect, use, share, and protect personal information. By using the Service, you acknowledge our Privacy Policy.

15. Suspension and termination

You may stop using the Service at any time. SellWorks may suspend or terminate your access to the Service, remove content, revoke licenses, or close your account if we believe that:

  • you violated these Terms or our policies;
  • your use creates security, legal, operational, reputational, or safety risk;
  • your payment is overdue;
  • your account is involved in fraud, abuse, or attempts to evade restrictions;
  • we are required to do so by law, platform partner, or third-party provider; or
  • continuing to provide the Service is no longer commercially or technically feasible.

Upon termination, your right to access the Service ends. Sections that by their nature should survive termination will survive, including payment obligations, Customer Content responsibility, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.

16. Beta features

SellWorks may offer beta, experimental, preview, or early-access features. Beta features may be incomplete, unstable, inaccurate, changed, or discontinued at any time. They are provided "as is" and may be subject to additional restrictions.

17. Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLWORKS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND AVAILABILITY.

SELLWORKS DOES NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, ACCURATE, LAWFUL, NON-INFRINGING, PLATFORM-COMPLIANT, OR SUITABLE FOR YOUR PURPOSES. SELLWORKS DOES NOT WARRANT THAT ANY OUTPUT WILL INCREASE SALES, CONVERSIONS, RANKINGS, AD PERFORMANCE, REVENUE, OR MARKETPLACE APPROVAL.

You acknowledge that AI systems can generate incorrect, incomplete, biased, offensive, infringing, or misleading content. You are responsible for human review before use.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLWORKS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PLATFORM ACCOUNT SUSPENSION, AD DISAPPROVAL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLWORKS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SELLWORKS FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) USD $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

19. Indemnification

You will defend, indemnify, and hold harmless SellWorks and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your Inputs, Outputs, products, services, listings, ads, or marketing campaigns;
  • your use of the Service;
  • your violation of these Terms or our policies;
  • your violation of law, platform rules, marketplace policies, or third-party rights;
  • allegations that your Customer Content or use of Outputs infringes, misappropriates, or violates third-party rights; or
  • your customers, clients, team members, contractors, or downstream users.

SellWorks may control the defense of any matter subject to indemnification, and you agree to cooperate with us.

20. Applicable law and dispute resolution

Until SellWorks forms a legal entity or provides a specific governing-law clause in an order form, these Terms are governed by applicable law. Any dispute arising out of or relating to these Terms or the Service will be resolved in a court with competent jurisdiction, subject to any mandatory consumer, privacy, or platform rules that cannot be waived.

If SellWorks later forms, transfers, or assigns the Service to a legal entity, we may update these Terms to include the legal entity name, governing law, and venue. Your continued use of the Service after the updated Terms become effective means you accept those updates.

21. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, email, or another reasonable method. Updated Terms become effective on the date stated in the updated version. Your continued use of the Service after the effective date means you accept the updated Terms.

22. Miscellaneous

These Terms, together with the Privacy Policy, Moderation Policy, and any order forms incorporated by reference, are the entire agreement between you and SellWorks regarding the Service. If any provision is unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our consent. SellWorks may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. There are no third-party beneficiaries unless expressly stated.
